These Terms & Conditions (“Terms”) form a legally binding agreement between you (“User”, “you”) and HPRN Technology Private Limited (operating as “CalxBook”, “we”, “us”, or “our”), a private limited company incorporated in India, governing your access to and use of the website calxbook.comand all related services (collectively, the “Platform”).

By accessing, registering for, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you must not use the Platform.

You must be at least 18 years of age and capable of entering into a legally binding contract under the Indian Contract Act, 1872 to use the Platform. By registering, you represent that you meet these requirements.

• You agree to provide accurate, current, and complete information during registration and to keep it updated.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• You must notify us immediately of any unauthorized use of your account.
• We may suspend or terminate accounts that contain false information or are used in breach of these Terms.

Mentors are independent contractors and not our employees or agents. We facilitate bookings and payments but do not ourselves deliver the mentoring or guarantee any specific outcome. Each Mentor is solely responsible for the content, quality, and delivery of their sessions.

We are not a party to the actual learning engagement between a User and a Mentor, except to the limited extent of facilitating the transaction, hosting the connection tools, and collecting and disbursing payments.

• Service descriptions, Mentor profiles, availability, and pricing shown on the Platform are provided for your convenience and may change.
• A booking is confirmed only upon successful payment capture and our confirmation dispatch.
• Session timings, formats, and rescheduling are subject to Mentor availability and any rules displayed at the time of booking.
• We reserve the right to modify, suspend, or discontinue any part of the Services at any time.

All prices are listed in Indian Rupees (INR) unless stated otherwise and are inclusive or exclusive of applicable taxes as indicated at checkout. As a marketplace, CalxBook collects the full payment from you and disburses the Mentor's share after deducting our platform fees and applicable taxes.

• Payments are processed through verified third-party payment gateways; by paying, you also agree to their terms.
• You agree to provide valid and authorized payment information and confirm you are authorized to use the chosen payment method.
• We reserve the right to correct pricing errors and to cancel orders affected by such errors, with a full refund of any amount charged in error.

We offer a refund / money-back facility under the following strict parameters:

You agree not to:

• Use the Platform for any unlawful, fraudulent, or harmful purpose.
• Post or transmit content that is defamatory, obscene, infringing, harassing, or objectionable.
• Circumvent the Platform to transact with Mentors off-platform in order to avoid fees.
• Copy, record, redistribute, or resell course content or session recordings without explicit authorization.
• Attempt to gain unauthorized access to, disrupt, or reverse-engineer the Platform.
• Upload viruses, malicious code, or scrape data using automated scripts or tools.

We reserve the right to remove content, suspend or terminate account access for violations, and report unlawful activity to regulatory authorities.

Mentors engage with the Platform as independent contractors and not as employees of CalxBook. Mentors are responsible for the accuracy of their profiles, the lawful and professional delivery of their Services, the correctness of their tax and payout details, and compliance with these Terms.

CalxBook may set quality standards and reserves the right to remove Mentors who do not meet them or are in violation of contractual safeguards.

Testimonials, placement references, and success stories on the Platform reflect individual experiences and are not promises or guarantees of employment, salary levels, certifications, or any specific results. Placement-referral features facilitate introductions only and do not guarantee interviews or job offers.

The Platform, including its design, logos, trademarks, software, and CalxBook-owned content, is owned by or licensed to HPRN Technology Private Limited (operating as CalxBook) and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial learning purposes.

Course content provided by Mentors remains the property of the respective Mentor or its licensors. You may not reproduce, distribute, or create derivative works from any Content without explicit authorization.

The Platform may contain links to third-party websites or services (including payment gateways). We do not control and are not responsible for their content, policies, or practices. Your use of third-party services is governed by their own terms.

The Platform and Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, CalxBook disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that any particular Mentor or Service will meet your expectations.

To the maximum extent permitted by applicable law, HPRN Technology Private Limited (operating as CalxBook) and its directors, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or opportunities, arising out of or relating to your use of the Platform.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the total amount paid by you to CalxBook for the specific Service giving rise to the claim during the three (3) months preceding the event. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

You agree to indemnify and hold harmless HPRN Technology Private Limited (operating as CalxBook) and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Platform, or your violation of any law or the rights of a third party.

We may suspend or terminate your access to the Platform, with or without notice, if you breach these Terms, if required by law, or to protect the Platform or other users. You may stop using the Platform at any time. Provisions that by their nature should survive termination (including payment, intellectual property, disclaimers, liability, and indemnity) will survive.

These Terms are governed by and construed in accordance with the laws of India. Subject to the dispute resolution process below, the courts at Gurugram / New Delhi shall have exclusive jurisdiction.

In the event of a dispute, the parties shall first attempt to resolve it amicably through good-faith discussions. Failing which, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, conducted in English by a sole arbitrator seated in Gurgaon.

In accordance with the Information Technology Act, 2000 and the Consumer Protection (E-Commerce) Rules, 2020, our Grievance Officer details are published below:

We may revise these Terms from time to time. The updated version will be posted with a revised “Last Updated” date and, for material changes, we will provide reasonable notice. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

• Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and CalxBook regarding the Platform.
• Severability: If any provision is held unenforceable, the remaining provisions remain in full force and effect.
• No Waiver: Our failure to enforce any right does not waive our ability to do so in the future.
• Assignment: You may not assign these Terms without our consent; we may assign them in connection with a business transfer.
